When starting a company in the United States, choosing the right business structure is one of the most important decisions you’ll make. Each type offers different levels of liability protection, taxation, and compliance requirements.

Types of Businesses in the USA

LLC

One of the most popular options is the Limited Liability Company (LLC), especially favored by small business owners, e-commerce sellers, and startups, and they can be formed in business-friendly states like Wyoming, Delaware, Texas, and Florida.

Corporation (S-Corp & C-Corp)

A Corporation is a separate legal entity that provides strong liability protection and credibility.  A C-Corp offers unlimited shareholders and investor appeal but faces double taxation. An S-Corp avoids double taxation but is limited to 100 U.S. shareholders and one stock class.

Sole Proprietorship

The Sole Proprietorship is the simplest and cheapest way to operate a business. It requires no formal registration and allows the owner to report all business income on their personal tax return. However, it offers no liability protection, meaning the owner is personally responsible for all debts and obligations.

Partnership

For businesses with multiple owners, a Partnership can be established. In a General Partnership (GP), all partners share management duties and liability, while in a Limited Partnership (LP), at least one general partner assumes unlimited liability and the remaining partners have limited liability. Profits are passed through to each partner’s personal tax return.
